The licence must be registered to your organisation, not to the integrator. A portal registered in a contractor's account stays with them when you part, together with the entire deal history and correspondence. That is worth checking before paying the invoice rather than in the middle of a dispute.
On the hosted service the plan drops to free: some features switch off and access to certain data is limited. With an on-premise installation the system keeps running but stops receiving updates, which over time becomes a security problem.
You can, usually at the next renewal. Reviewing the roles often shows that some staff appear in the system once a month and do not need a full seat. Overpaying for that reason is very common.
Whoever's account it is registered to, and that has to be someone from your company rather than a contractor or an administrator who has left. Changing the owner is possible, but it is easier to get it right at the outset.
